Please read these terms carefully before using the Wicte platform

Welcome to Wicte! These Terms and Conditions ("Terms") govern your use of the Wicte platform, website, and services (collectively, the "Platform") operated by Wicte ApS ("we," "us," or "our"). By accessing or using our Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Wicte platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree to these Terms, you must not use our Platform.

Important: These Terms constitute a legally binding agreement between you and Wicte ApS.

2. Eligibility

To use Wicte, you must:

  • Be at least 18 years old or the legal age for alcohol-related business in your jurisdiction
  • Have the legal capacity to enter into contracts
  • Be authorized to engage in wine-related business activities in your jurisdiction
  • Comply with all applicable laws regarding the sale, purchase, and distribution of alcoholic beverages
  • Not be prohibited from using the Platform under applicable laws

By using Wicte, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

3.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Types

Wicte offers three types of accounts:

  • Wine Producer: For wineries and vineyards
  • Wine Importer: For businesses importing and distributing wine
  • Sommelier: For wine professionals offering expertise and services

3.3 Business Verification

We may require additional verification of your business credentials, licenses, and authorizations to engage in wine-related commerce.

4. Platform Use

4.1 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for legitimate business purposes.

4.2 Acceptable Use

You agree to use the Platform only for:

  • Lawful business purposes related to the wine industry
  • Connecting with other wine professionals
  • Facilitating legitimate business transactions
  • Sharing accurate information about your products and services

4.3 Platform Availability

We strive to maintain Platform availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Platform at any time.

5. User Content

5.1 Your Content

You retain ownership of content you submit to the Platform ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for Platform operations.

5.2 Content Standards

You represent and warrant that your User Content:

  • Is accurate and not misleading
  • Does not infringe any third-party rights
  • Complies with applicable laws and regulations
  • Does not contain harmful or malicious code
  • Is appropriate for a professional business platform

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

6. Transactions Between Users

6.1 Role of Wicte

Wicte is a technology and connection platform only. We are not a party to the contract of sale between users and do not:

  • Take possession of, store, warehouse, or ship any goods
  • Act as seller, buyer, agent, distributor, carrier, or reseller
  • Guarantee the quality, safety, or legality of products
  • Ensure the accuracy of user listings or that transactions will be completed

6.2 Payments on the Platform

We may facilitate payment processing on the Platform for convenience. When you pay through Wicte:

  • The contract of sale remains solely between you and the other user (seller/buyer)
  • We do not take title to, handle, or deliver the goods; the seller is responsible for fulfilment and shipping
  • Any claim for non-delivery, defective goods, or breach of the sale is between you and the other party, not Wicte

Important: Paying on the Platform does not make Wicte responsible for the goods or their delivery. We provide the connection and, where applicable, payment tools only.

6.3 User Responsibilities

Users are solely responsible for:

  • Compliance with all applicable laws and regulations
  • Obtaining necessary licenses and permits
  • Payment of taxes and duties
  • Fulfilment of orders, shipping, and delivery
  • Resolution of disputes with other users (including non-delivery or quality issues)

6.4 Alcohol Regulations

All users must comply with applicable laws regarding the sale, purchase, importation, and distribution of alcoholic beverages in their respective jurisdictions.

7. Fees and Payment

7.1 Platform Fees

Certain features of the Platform may be subject to fees. Current fee structures will be clearly communicated before you incur any charges.

7.2 Payment Terms

By providing payment information, you authorize us to charge applicable fees. All fees are non-refundable unless otherwise specified.

7.3 Taxes

You are responsible for all taxes associated with your use of the Platform and any transactions conducted through it.

8. Prohibited Activities

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Post false, misleading, or fraudulent information
  • Engage in unauthorized selling or advertising
  • Harass, abuse, or harm other users
  • Attempt to gain unauthorized access to the Platform
  • Use automated systems to access the Platform without permission
  • Interfere with the proper functioning of the Platform
  • Circumvent any security features
  • Collect user information without consent

9. Intellectual Property

9.1 Wicte Property

The Platform and its original content, features, and functionality are owned by Wicte ApS and are protected by international copyright, trademark, and other intellectual property laws.

9.2 Trademarks

The Wicte name, logo, and all related names, logos, product and service names are trademarks of Wicte ApS. You may not use these marks without our prior written permission.

9.3 Feedback

Any feedback, suggestions, or ideas you provide about the Platform become our property and may be used without compensation to you.

10. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using Wicte, you consent to our data practices as described in the Privacy Policy.

10.1 GDPR Compliance

We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws. You have rights regarding your personal data, as detailed in our Privacy Policy.

11. Limitation of Liability

11.1 No Liability for Goods or Fulfilment

Wicte does not take possession of, store, or ship any products. We are not responsible for the delivery, quality, condition, or legality of goods; for non-delivery or delayed delivery; or for any dispute between buyer and seller about payment or fulfilment. All such claims must be directed to the other user. To the maximum extent permitted by law, Wicte ApS excludes all liability in connection with transactions between users, including where payment is made via the Platform.

In particular, for transactions conducted through Trade Governance (Sections 17 and 18), Wicte does not transport, store, or deliver any goods. Any claim relating to goods, delivery, or the underlying sale must be directed at the other trading party or the carrier, not at Wicte.

11.2 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WICTE APS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE PLATFORM (EXCLUDING USER-TO-USER TRANSACTIONS AND GOODS) SHALL NOT EXCEED THE AMOUNT YOU PAID TO WICTE FOR PLATFORM SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.4 Indemnification

You agree to indemnify, defend, and hold harmless Wicte ApS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform, your transactions with other users, or your violation of these Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at hello@wicte.dk.

12.2 Termination by Us

We may suspend or terminate your account if we believe you have violated these Terms or engaged in fraudulent, illegal, or harmful activities.

12.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

13. Dispute Resolution

13.1 Informal Resolution

Disputes between users (e.g. buyer and seller) regarding orders, delivery, or goods must be resolved between those users. This Section 13 applies to disputes between you and Wicte concerning the platform or these Terms.

13.2 Arbitration

Any disputes that cannot be resolved informally shall be submitted to binding arbitration in accordance with Danish arbitration laws, except where prohibited by law.

13.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions to the fullest extent permitted by law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. The courts of Copenhagen, Denmark shall have exclusive jurisdiction over any disputes arising from these Terms.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on the Platform
  • Updating the "Last Updated" date
  • Sending notice to your registered email address

Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

17. Trade Confirmation Layer

When you use Wicte’s Trade Governance flow (as buyer, seller, or importer), you confirm and agree that:

  • You have provided accurate information about your role, identity, and compliance documents.
  • You will use the platform only for lawful cross-border or domestic trade in compliance with applicable regulations.
  • Wicte acts solely as an intermediary and technology provider. Wicte does not manufacture, store, transport, or deliver any goods. All logistics, shipping, and delivery are the sole responsibility of the seller, importer, or their chosen carriers. Wicte is not a party to the physical sale or movement of goods.
  • You accept that Wicte records governance steps (checklist, documents, state transitions) for audit and platform integrity. This record does not make Wicte responsible for the underlying transaction, the goods, or their delivery.
  • Any dispute regarding non-delivery, defective goods, quality, or fulfilment is solely between you and the other trading party (buyer, seller, or importer). You will not hold Wicte liable or bring claims against Wicte in respect of such matters, except where Wicte has acted in breach of these Terms.
  • Proceeding to request quantity, confirm quantity, proceed to checkout, or upload compliance documents constitutes your binding acceptance of this Trade Confirmation Layer and the Digital Trade Agreement (Section 18).

Important: By clicking “Request quantity”, “Confirm quantity”, “Proceed to order”, or by uploading compliance documents in a trade journey, you agree to this layer and to the Digital Trade Agreement below. Wicte does not transport or deliver goods; all such obligations remain between the trading parties.

18. Digital Trade Agreement

This Digital Trade Agreement applies to all transactions conducted through Wicte’s Trade Governance. By participating as buyer, seller, or importer, you agree to the following.

  • Parties and role of Wicte: The contractual and commercial relationship is between Buyer, Seller(s), and (where applicable) Importer. Wicte is not a seller, buyer, importer, carrier, or guarantor. Wicte does not take possession of, store, transport, or deliver any goods. Shipping, delivery, and any related loss or damage are exclusively the responsibility of the parties and their carriers.
  • Governance record: The trade journey (status, checklist, documents, and audit log) is a record of compliance and progress on the platform. It does not constitute a contract between Wicte and any user for the supply or delivery of goods, and does not impose on Wicte any obligation regarding the underlying transaction.
  • Quantity and order: The quantity confirmed by the buyer (or designated party) and used at checkout is binding for the resulting order. Disputes about quantity or order fulfilment are solely between the trading parties.
  • Documents: Uploaded compliance documents are subject to review and acceptance by the platform or designated roles; acceptance is recorded in the journey. Wicte does not guarantee the accuracy or legal sufficiency of user-uploaded documents.
  • Disputes and claims: Any dispute arising from the governance flow, the underlying trade, or the resulting order (including non-delivery, defective goods, or payment) is between the users involved. You agree to resolve such disputes directly with the other party and not to hold Wicte liable, except where Wicte has materially breached these Terms. Disputes with Wicte regarding the platform or these Terms remain subject to Section 13 (Dispute Resolution) and Section 11 (Limitation of Liability).

Reminder: Wicte does not transport or deliver goods. All delivery and logistics obligations are between the trading parties and their chosen carriers. Wicte’s role is limited to providing the platform and, where applicable, payment facilitation.

By participating in a governed trade (as buyer, seller, or importer), you agree to this Digital Trade Agreement and acknowledge that Wicte has no obligation or liability in respect of the physical goods or their transport.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Wicte ApS regarding your use of the Platform.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Language

These Terms are written in English. Any translations are provided for convenience only, and the English version shall prevail in case of any discrepancy.
